BreezeCOM Ltd. and Floware Wireless Systems, Ltd. Complete Merger
Company Changes Name to Alvarion To Trade on NASDAQ Under ALVR Symbol Tel Aviv, Israel, August 1, 2001—BreezeCOM Ltd. (NASDAQ: BRZE) and Floware Wireless Systems Ltd. (NASDAQ: FLRE) announced today the completion of their merger. The name of the newly merged entity is Alvarion.
The new Company’s shares will be traded on the NASDAQ exchange under the symbol “ALVR.”
The shareholders of both companies approved the merger at shareholders’ meetings held in Israel on July 30, 2001. Under the terms of the merger, BreezeCOM issued 0.767 ordinary shares for each ordinary share of Floware in a stock-for-stock exchange.
In announcing the successful completion of the merger, Zvi Slonimsky and Amnon Yacoby, co-Chief Executive Officers of Alvarion, said, “The merger of BreezeCOM and Floware to form Alvarion creates a company that is one of the largest pure-play providers of point-to-multipoint broadband wireless access equipment.
